VEX Terms of Service

Welcome to VEX. These Terms of Service ("Terms") govern your access to and use of the VEX mobile application, website, and related services (collectively, the "Service"). By creating an account or using VEX, you agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. WHO WE ARE
VEX is operated by Soul Surferz, LLC ("VEX," "we," "us," or "our").
VEX is a private, curated social platform designed to facilitate connections between verified adults.
2. ELIGIBILITY
You must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable law
- Not have been previously removed or banned from VEX
We reserve the right to request age and identity verification at any time.
3. ACCOUNT REGISTRATION & VERIFICATION
You must create an account to access VEX.
You agree that:
- All information you provide is accurate and up to date
- Photos must represent you accurately
- You will not impersonate another person
- You will maintain the confidentiality of your login credentials
Identity Verification
VEX may require:
- Live selfie verification
- Video verification
- Additional identity confirmation
If you fail verification or refuse to comply, we may suspend or permanently terminate your account at our discretion.
Verification does not constitute background screening, criminal checks, or endorsement.
4. MEMBERSHIP & ACCESS
VEX is a discretionary platform. We reserve the right to:
- Approve or deny membership
- Suspend or remove accounts
- Limit feature access
- Modify or discontinue features
Access to VEX is a revocable license — not a right.
5. SUBSCRIPTIONS & PAYMENTS
Certain features may require a paid subscription ("Membership").
By purchasing a Membership, you agree:
- To pay all applicable fees
- That subscriptions automatically renew unless canceled
- That billing is processed through Apple App Store, Google Play, or other authorized providers
Cancellation
You may cancel through your app store account settings. Cancellation prevents future billing but does not provide refunds for unused time unless required by law.
We may change pricing with advance notice.
6. USER CONTENT
"User Content" includes photos, profile information, messages, and other material you submit.
You retain ownership of your content, but you grant VEX a worldwide, non-exclusive, royalty-free license to:
- Host and display your content within the Service
- Use it for moderation, safety, and fraud prevention
- Improve and develop the platform
You represent that:
- You own or have rights to all content you upload
- Your content does not violate any laws or third-party rights
We may remove content at our sole discretion.
7. PROHIBITED CONDUCT
You agree not to:
- Post nudity or explicit sexual content
- Harass, threaten, or exploit other users
- Use fake, stolen, or misleading photos
- Solicit money, services, or commercial transactions
- Use VEX for escorting, prostitution, or illegal activities
- Attempt to scrape, reverse engineer, or disrupt the platform
Violation may result in immediate suspension or permanent removal.
8. SAFETY DISCLAIMER
VEX provides a platform for introductions only.
We do not:
- Conduct criminal background checks (unless explicitly stated)
- Guarantee the identity, intentions, or behavior of any user
- Supervise or control offline interactions
You assume full responsibility for meeting other users and interacting with them.
9. REPUTATION & MODERATION
VEX may use AI systems and moderation tools to:
- Detect fake accounts
- Identify suspicious behavior
- Enforce community standards
Reputation systems or scores are informational only and do not guarantee user conduct.
10. TERMINATION
We may suspend or terminate your account at any time, with or without notice, if:
- You violate these Terms
- You pose a safety risk
- We determine continued access is not in the best interest of the community
Upon termination, your license to use VEX ends immediately.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- VEX is provided "as is" and "as available"
- We do not guarantee uninterrupted or error-free service
- We are not liable for user conduct
- We are not liable for indirect, incidental, consequential, or punitive damages
Our total liability shall not exceed the amount you paid to VEX in the past 12 months.
12. INDEMNIFICATION
You agree to indemnify and hold harmless VEX and its owners, officers, and affiliates from any claims arising from:
- Your use of the Service
- Your interactions with other users
- Your violation of these Terms
13. DISPUTE RESOLUTION (U.S. USERS)
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in Delaware, except where prohibited by law.
You waive any right to participate in class actions.
If arbitration is found unenforceable, disputes shall be resolved in the state or federal courts located in Delaware.
14. CHANGES TO THE SERVICE OR TERMS
We may modify these Terms at any time. Continued use of VEX after updates constitutes acceptance.
We may update, modify, or discontinue features at our discretion.
15. INTELLECTUAL PROPERTY
All platform content, branding, logos, and technology belong to VEX or its licensors.
You receive a limited, non-transferable license to use the Service for personal purposes only.
16. APP STORE TERMS
If you download VEX from an app store:
- The app store is not responsible for the Service
- Apple and Google are third-party beneficiaries of these Terms
17. GENERAL PROVISIONS
- These Terms constitute the entire agreement between you and VEX
- If any provision is found invalid, the remainder remains enforceable
- Failure to enforce a provision does not waive our rights
- We may assign these Terms in connection with a merger or acquisition
